TERMS & CONDITIONS OF BITRUS LIMITED
This Terms of Use Agreement (this "User Agreement") is between you and the service operator, Bitrus LIMITED. Any entity visiting the website or in any other form communicating or using services provided by Bitrus LIMITED ("Visitor") shall be governed by this User Agreement.
By using any services provided by the Bitrus LIMITED or Bitrus LIMITED affiliates (the "Services"), you agree that you have read, understood and agreed to all of the terms and conditions of Bitrus LIMITED contained in this User Agreement (the Terms & Conditions), as well as our Privacy Policy. As this is a legally binding contract, please read through this User Agreement carefully and related notices before using any of the Services. By registering, accessing or using the Service a Member or Visitor accepts and agrees to be bound by the terms of this User Agreement.
By using and accessing the Services or any subpages or services affiliated with, originated by or arranged through Bitrus Limited, a Member or Visitor accepts, without limitation, all of the Terms & Conditions agrees in advance that each use will be subject to the then applicable version of the Terms & Conditions.
The original and only legally binding version of this User Agreement is in English. Translations of this User Agreement or any of the Terms & Conditions into other languages are only indicative and should not be viewed as legal documents.
The Terms & Conditions apply to all Members and Visitors, or any of their team members, shareholders, representatives, employees, and all other related parties.

Agreement Conditions
1.1. Bitrus LIMITED reserves the right to modify or change this User Agreement and the Terms & Conditions at any time and from time to time in its sole discretion. Bitrus LIMITED will provide notice of these changes by updating the revised User Agreement on the Bitrust Exchange. Any and all changes or modifications to the User Agreement will be effective concurrent with its publishing on the Bitrus Exchange. Your continued use of Services shall act as the agreement to the terms changes.
Eligibility
2.1. To use MXND you affirm that you are at least 18 years old and are an individual or are acting on behalf of a legal person or other organization with full legal capacity to enter into this User Agreement. If you are not, please discontinue use of the Services. In addition, Bitrus LIMITED shall have the right to deny services in addition to filing claims against you and/or your legal guardian for damages related to your use of the services.
Prohibition of Use
3.1. By using MXND and any of the Services, you acknowledge and affirm that you are not on any trade or economic sanctions lists, such as the United Nations Security Council Sanctions List and its equivalent. Bitrus LIMITED maintains the right to select its markets and jurisdictions to operate and may restrict or deny its services to certain countries. The content of this User Agreement shall not be excluded from the laws of the country under which the user is using Bitrus LIMITED.
Description of services
4.1. Bitrus LIMITED provides a digital asset called MXND. Bitrus LIMITED does not offer the ability to trade traditional fiat currencies on its platform and as such is not subjected to the strict regulations relating to such capabilities.
4.2. By using Bitrus LIMITED and any of the Services, you affirm that all information provided to Bitrus LIMITED in connection with this User Agreement is true, accurate and complete.
Dispute Resolution
5.1. Any disputes arising out of or in connection with this User Agreement or the Terms & Conditions or otherwise through the use of MXND or any Services, shall be governed by the laws of Bahamas.
5.2 Bitrus LIMITED reserves the right to settle issues and disputes in whichever manner and forum it deems suitable. Some issues include infringement of others' rights, violation of laws and regulations, abnormal trades and other issues not explicitly mentioned in this User Agreement.
5.3 Any dispute raised by a user must be adjudged before the courts of competent jurisdiction in the Bahamas.
5.4 Users agree to bear the costs arising from the process of dispute resolution.
Liability: Provision of Service
6.1. Bitrus LIMITED provides the Services on an "as is" and "commercially available" condition and does not offer any form of warranty with regard to the Service's reliability, stability, accuracy and completeness of the technology involved.
Limitation of Liability
7.1. You acknowledge and agree that Bitrus LIMITED shall not be liable for any losses caused by any of the following events, including, but not limited to:
7.1.1 Losses of profits, goodwill, usage or data or any other intangible losses;
7.1.2 Use or failure to use the MXND or any related Service;
7.1.3 Your misunderstanding of MXND or any Service;
7.2 In no event shall Bitrus LIMITED be liable for any failure or delay of service resulting from regular network maintenance or external factors such as power failure, natural disaster, service provider-side problems or governmental acts.
Indemnification
8.1. You agree to indemnify and hold harmless Bitrus LIMITED, its affiliates, contractors, licensors, and their respective directors, officers, employees and agents from and against any claims and damages (including attorneys' fees, fines or penalties imposed by any regulatory authority) arising out of your breach or our enforcement of this Agreement. The above-mentioned indemnity shall also apply to any violation of any applicable law, regulation, or rights of any third party by you during use of MXND or any Service.
8.2. You agree to indemnify Bitrus LIMITED and its entirety of affiliates and hold them harmless from and against all third party claims except in the case of Bitrus LIMITED's breach of this User Agreement. As mentioned in the description of services, Bitrus LIMITED tries its best to maintain the data integrity on its site but does not guarantee the information and services provided in its platform. Bitrus LIMITED will not be liable for errors arising from the use of its services.
Termination of Agreement
9.1. Bitrus LIMITED has the right to immediately suspend your account (and any accounts beneficially owned by related entities or affiliates), freeze or lock the funds in all such accounts, and suspend your access to Bitrus LIMITED if we suspect any such accounts to be in violation of this User Agreement, AML/CTF acts or any applicable laws & regulations. Bitrus LIMITED shall have the right to keep and use the transaction data or other information related to such accounts. The above-mentioned actions may be taken when we believe:
9.1.1. The user may subject to a governmental proceeding, criminal investigation or other pending litigation in the event that we;
9.1.2. detect unusual activity in the user;
9.1.3. are required to do so by court order or command by a regulatory/government authority.
9.2. The provision of any information to any governmental, regulatory or other authority in connection with clause 9.1.1 above shall not constitute a breach of any duty of confidentiality or protection of private information. You hereby acknowledge and accept the disclosure of information by Bitrus LIMITED In such circumstances.
9.3 In case of any of the following events, Bitrus LIMITED shall have the right to terminate this User Agreement by canceling your account, and shall have the right to permanently freeze (cancel) the authorizations of your account on Bitrus LIMITED and withdraw the corresponding Bitrus LIMITED account thereof:
9.3.1. after Bitrus LIMITED terminates services to you;
9.3.2. you allegedly register or register in any other person's name as a Bitrus Exchange user, directly or indirectly;
9.3.3. the main content of user's information that you have provided is untruthful, inaccurate, outdated or incomplete;
9.3.4. when this User Agreement (including the rules) is amended, you expressly state and notify Bitrus LIMITED of your unwillingness to accept the amended service agreement; and
9.3.5. any other circumstances where Bitrus LIMITED, in its sole discretion, feels such termination is warranted.
9.4. Should the account be terminated, the account and transactional information required for meeting data retention standards will be securely stored for five years. In addition, if a transaction is incomplete during the account termination process, Bitrus LIMITED shall have the right to notify your counterparty of the situation at that time.
Compliance with Local Laws
10.1. The user is responsible to abide by local laws related to the use of the Bitrus Exchange in their local jurisdiction including but not limited to all types of taxation, withholding, collection, reporting and remittance to their appropriate tax authorities. All users of the Bitrus Exchange and any of the Services represent and warrant that the source of their funds come from a legitimate manner and are not derived from illegal activities. Bitrus LIMITED actively cooperates with law enforcement, regulators and other third parties to investigate any suspected illegal or suspicious activity.
